CONTACT RYAN RAFOTH

Ryan Rafoth is the founder of Windmill Title and its Chief Closing Attorney. He graduated from Vanderbilt Law School, with honors, and joined the Tennessee bar in 2000. For many years, he maintained a business law practice, in which he represented entities and individuals with transactional matters and dispute resolution. Since founding Windmill Title in 2005, Ryan has transitioned to conducting real estate closings almost exclusively, and he greatly enjoys his role as trusted advisor to his real estate clients.

Ryan’s experience and expertise with respect to transactional work includes the formation of legal entities, including corporations, LLCs and partnerships, and the drafting and negotiation of shareholder agreements, joint venture agreements, asset and stock purchase agreements, employee/contractor agreements, leases and various types of contracts for the purchase or sale of goods or services. Ryan has represented clients in litigation and alternative dispute resolution proceedings in various types of business, construction, real estate, and entertainment cases, in both federal and state courts. He is admitted to practice in all Tennessee courts and the United States District Court for the Middle District of Tennessee.

Ryan graduated from Vanderbilt Law School in 2000. While at Vanderbilt Law, he served as a Managing Editor of the Vanderbilt Law Review which published his student note entitled Limitations of the 1999 Work for Hire Amendment: Courts Should Not Consider Sound Recordings to be Works for Hire When Artists' Termination Rights Begin Vesting in Year 2013 (click here to view). Ryan graduated with honors (Order of the Coif) from Vanderbilt. He practiced as an associate at the Nashville law firm of Sherrard & Roe, PLC for almost four years before starting his solo practice and founding Windmill Title.

Ryan and his wife, Jennifer, live in the Grassland area of Franklin with their two daughters. In his spare time, he enjoys listening to bluegrass, country and other music, cooking, bird hunting, striped bass fishing, mountain biking, and all kinds of activities with his family.
